PLEASE READ THIS END USER LICENSE AGREEMENT (“AGREEMENT”) CAREFULLY BEFORE INSTALLING OR USING THE SOFTWARE. BY CLICKING “I AGREE,” DOWNLOADING, INSTALLING, OR USING THE SOFTWARE, YOU ACCEPT AND AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT DOWNLOAD, INSTALL, OR USE THE SOFTWARE.
If you are accepting this Agreement on behalf of an organization, you represent and warrant that you have authority to bind that organization to this Agreement.
1. Definitions
“Software” means the mashin desktop application (Koda), including all components, updates, upgrades, patches, and associated Documentation provided by mashin, Inc..
“You” or “Licensee” means the individual or entity that accepts this Agreement.
“Cloud Services” means the mashin cloud platform and related online services that the Software may connect to. Cloud Services are governed separately by the Cloud Terms of Service.
“Documentation” means the user guides, help files, and technical documentation provided with the Software or published at the mashin, Inc. website.
“Licensee Content” means machine definitions, workflow configurations, governance rules, data files, and other content created by You using the Software.
“Machine” means a structured, governed workflow definition authored by Licensee using the Software. A Machine defines computation steps, governance rules, and effect declarations that the mashin runtime executes deterministically.
2. License Grant
2.1 Grant of License
Subject to this Agreement, mashin, Inc. grants You a limited, personal, non-exclusive, non-transferable, revocable license to download, install, and use the Software on up to three (3) devices owned or controlled by You, solely for Your internal business or personal purposes, in accordance with the Documentation.
2.2 Concurrent Use
You may install and use the Software on multiple devices simultaneously, provided that all installations are used by the same individual Licensee. Organization or team licenses, where available, may permit multiple named users as specified in the applicable Subscription Plan. Credentials may not be shared among users.
2.3 Free and Paid Tiers
The Software is available in free and paid tiers. The free tier includes core functionality with usage limits. Paid tiers unlock additional features and higher limits as described in the Subscription Plan documentation. mashin, Inc. may modify free-tier features or limits at any time.
3. Restrictions
You may not, and may not permit any third party to:
3.1 Reverse Engineering
Reverse engineer, decompile, disassemble, or otherwise attempt to discover or derive the source code, object code, underlying structure, algorithms, or trade secrets of the Software, except to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation (e.g., EU Directive 2009/24/EC for interoperability purposes).
3.2 Redistribution
Copy, distribute, sublicense, lease, rent, loan, sell, or otherwise transfer the Software or any copy thereof to any third party. This includes making the Software available for download, sharing installation files or license keys, hosting the Software on shared infrastructure for access by others, or bundling the Software with your own products.
3.3 Modification
Modify, adapt, translate, port, or create derivative works based on the Software. This restriction applies to the Software application itself. It does not restrict Your ability to create, modify, share, or license Licensee Content (machine definitions, workflows, and other content You create using the Software).
3.4 License Management
Remove, disable, circumvent, interfere with, or tamper with any license management, copy protection, authentication, digital rights management, or security features of the Software. You may not use the Software with license keys you have not legitimately acquired.
3.5 Competitive Use
Use the Software to build a product or service that competes with the Software, or systematically benchmark the Software for the purpose of building a competing product.
4. Intellectual Property
4.1 mashin, Inc.’s Rights
The Software is licensed, not sold. mashin, Inc. and its licensors retain all right, title, and interest in and to the Software, including all copies, modifications, derivative works, and all intellectual property rights therein (patents, copyrights, trademarks, trade secrets). This Agreement does not transfer any ownership of the Software to You. All rights not expressly granted are reserved by mashin, Inc..
4.2 Your Content
Licensee Content is Your intellectual property. mashin, Inc. claims no ownership over machine definitions, prompts, workflow configurations, governance rules, or outputs generated by Your machines. You retain all rights, title, and interest in Your Licensee Content and the outputs produced by Your machines, subject to any applicable third-party model provider terms.
4.3 Feedback
If You provide suggestions, ideas, or feedback about the Software (“Feedback”), You grant mashin, Inc. a non-exclusive, royalty-free, worldwide, perpetual, irrevocable license to use, modify, and incorporate that Feedback for any purpose. Feedback does not include Licensee Content.
5. Automatic Updates
5.1 Update Mechanism
The Software may automatically check for and download updates from mashin, Inc.. Updates may include bug fixes, security patches, new features, performance improvements, and compatibility adjustments. Updates may add, modify, or remove features.
5.2 Update Preferences
You may configure update behavior in the Software’s settings. Options include: automatic updates (default), notification before install, and manual check only. Regardless of your preference, mashin, Inc. may deliver critical security updates automatically when necessary to address actively exploited vulnerabilities or critical stability issues.
5.3 Version Support
mashin, Inc. provides support, security updates, and bug fixes for the current released version and the immediately preceding major version. Older versions may continue to function but will not receive updates or support. mashin, Inc. may require You to update to a supported version to access Cloud Services.
6. Telemetry and Data Collection
6.1 What Data Is Collected
The Software may collect the following diagnostic and usage data: crash reports and error logs (stack traces, error codes, application state at time of crash); feature usage analytics (which features are used and how frequently); performance metrics (startup time, memory usage, operation latency); and application configuration data (enabled plugins, theme, display settings). Telemetry does not include Licensee Content, credentials, file contents, or personal information beyond your account identifier.
6.2 Purpose and Handling
Telemetry data is transmitted to mashin, Inc.’s servers over encrypted connections (TLS). This data is used solely to improve Software quality, diagnose issues, prioritize feature development, and maintain compatibility. Our use of this data is governed by our Privacy Policy. Telemetry data is retained for 12 months and then deleted or anonymized.
6.3 Opt-Out
You may disable optional telemetry collection at any time in the Software’s settings (Settings > Privacy > Telemetry). When telemetry is disabled, no usage analytics or performance metrics are collected or transmitted. Critical crash reporting (limited to crash stack traces with no Licensee Content) remains enabled by default to help maintain application stability; this can also be fully disabled in settings.
7. Connection to Cloud Services
7.1 Cloud Features
The Software connects to mashin, Inc.’s Cloud Services for: authentication and account management; machine execution on cloud infrastructure; mashin package registry access (browsing, installing, and publishing krates); AI model inference via governed model routing; project synchronization across devices; and license validation.
7.2 Cloud Terms
Your use of Cloud Services through the Software is governed by the Cloud Terms of Service, which is a separate agreement. In the event of a conflict between this Agreement and the Cloud Terms of Service regarding Cloud Service usage, the Cloud Terms of Service control.
7.3 Offline Use
The Software may be used in offline mode with limited functionality. Cloud-dependent features (cloud execution, registry access, model inference, synchronization, and features requiring authentication) will be unavailable during offline use. The Software will attempt to reconnect to Cloud Services when a network connection becomes available.
8. Third-Party Components
8.1 Open-Source Components
The Software incorporates open-source and third-party components, including:
- Tauri Framework (MIT / Apache 2.0) — Application framework for the desktop shell
- Platform WebView — WebKit on macOS, WebView2 on Windows, WebKitGTK on Linux
- Elixir Runtime (Apache 2.0) — Language runtime for the mashin engine
8.2 Third-Party Notices
A complete list of all third-party components, their versions, and their license texts is available within the Software (Help > Third-Party Notices) and on the mashin, Inc. website. You agree to comply with all applicable third-party license terms. In the event of a conflict between this Agreement and a third-party open-source license, the open-source license controls with respect to the applicable component.
9. Termination
9.1 When This License Ends
This license is effective until terminated. It terminates automatically if You fail to comply with any term of this Agreement. mashin, Inc. may terminate this license at any time by providing 30 days’ written notice (or immediately for material breach). You may terminate at any time by uninstalling the Software and destroying all copies in your possession.
9.2 Effect of Termination
Upon termination: (a) all rights granted under this Agreement cease immediately; (b) You must uninstall the Software and destroy all copies; (c) You retain all rights to Licensee Content stored locally on your devices; and (d) Cloud-stored data is governed by the Cloud Terms of Service. Sections 1, 3, 4, 9.2, 10, 11, 12, and 13 survive termination.
10. Warranty Disclaimer
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. mashin, Inc. DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. mashin, Inc. DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, VIRUS-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED.
mashin, Inc. MAKES NO WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, TIMELINESS, OR FITNESS OF AI OUTPUTS PROVIDED BY THIRD-PARTY MODEL PROVIDERS THROUGH THE SOFTWARE. CUSTOMER IS SOLELY RESPONSIBLE FOR EVALUATING AND VALIDATING AI OUTPUTS.
Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to You. In such jurisdictions, mashin, Inc.’s liability is limited to the maximum extent permitted by law.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL mashin, Inc. OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY AND WHETHER OR NOT mashin, Inc. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
mashin, Inc.‘S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) FIFTY DOLLARS ($50).
mashin, Inc. SHALL HAVE NO LIABILITY FOR DAMAGES ARISING FROM THIRD-PARTY AI MODEL PROVIDER OUTPUTS, FAILURES, OR UNAVAILABILITY.
The limitations in this Section apply even if any remedy fails of its essential purpose. Some jurisdictions do not allow limitations on liability, so the above may not fully apply to You.
12. Governing Law and Dispute Resolution
This Agreement is governed by the laws of the State of Delaware, without regard to conflict of law principles.
Any dispute arising from or relating to this Agreement shall be resolved by final and binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures. The seat of arbitration shall be Delaware. The language of arbitration shall be English.
EACH PARTY WAIVES THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. ALL CLAIMS MUST BE BROUGHT IN THE PARTIES’ INDIVIDUAL CAPACITY.
Either party may bring a qualifying claim in small claims court in Delaware. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
13. General Provisions
Entire Agreement. This Agreement, together with the Privacy Policy and any applicable Subscription Plan terms, constitutes the entire agreement between You and mashin, Inc. regarding the Software.
Severability. If any provision is found unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary, and the remaining provisions remain in effect.
Waiver. Failure to enforce any provision does not constitute a waiver. No waiver is effective unless in writing.
Assignment. You may not assign this Agreement without mashin, Inc.’s prior written consent. mashin, Inc. may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of its assets.
Export Compliance. You agree to comply with all applicable export control and sanctions laws. You may not export or re-export the Software to any country, person, or entity prohibited by applicable law.
U.S. Government Rights. If the Software is acquired by a U.S. Government entity, it is provided as “commercial computer software” under FAR 12.212 and DFARS 227.7202, with only those rights granted in this Agreement.

Machine Intellectual Property Ownership
Machines authored by Customer are Customer’s intellectual property. mashin, Inc. claims no ownership over machine definitions, prompts, workflow configurations, governance rules, or outputs generated by Customer’s machines. Customer retains all rights, title, and interest in their machine definitions and the outputs produced by those machines, subject to any applicable third-party model provider terms.
Deterministic Execution
mashin, Inc. makes commercially reasonable efforts to ensure deterministic execution of Customer’s machines: the same inputs produce the same outputs, excluding explicit randomness and third-party model outputs. This commitment reflects the platform’s architectural design (pure computation steps, governed effects, behavioral ledger recording) but is not a warranty. Third-party model providers may produce varying outputs for identical inputs; such variation is outside mashin, Inc.’s control.
